Welcome to Empowering Educators ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our coaching and consulting services, including any related communications, scheduling tools, and materials (collectively, the "Services"). By engaging our Services, scheduling an appointment, or otherwise using our Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Description of Services

Empowering Educators provides coaching and consulting services primarily to clients located in the United States, which may include one-on-one sessions, group sessions, workshops, consultations, and related materials. The specific scope of services provided to you will be described in a separate engagement agreement, proposal, or invoice, and these Terms supplement that agreement.This is a Paragraph Font

2. Eligibility

Our Services are intended for individuals who are at least 18 years of age and legally capable of entering into binding contracts. By using our Services, you represent that you meet this requirement. If you are engaging our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate, current, and complete information as requested;

  • Use the guidance, materials, and resources provided in good faith and for your own personal or professional

  • Attend scheduled sessions and appointments on time, or provide reasonable advance notice if you are unable to do so;

  • Comply with all applicable laws in connection with your use of our Services.

4. Payment Terms

Fees for our Services will be disclosed to you prior to the start of any engagement. Payment is due according to the schedule outlined in your engagement agreement or invoice. Late payments may result in suspension of Services until payment is received. All fees are non-refundable except as expressly stated in Section 5 (Cancellation and Refund Policy) or as otherwise agreed to in writing.

5. Cancellation and Refund Policy.

You may cancel or reschedule a scheduled session by providing reasonable advance notice as specified in your engagement agreement. Cancellations made with insufficient notice, or missed appointments ("no-shows"), may be subject to a cancellation fee or forfeiture of the session, at our discretion. Refunds, if any, will be handled on a case-by-case basis and are not guaranteed.

6. SMS and Text Message Communications

By providing your mobile phone number to Empowering Educators, you consent to receive text messages (SMS) from us related to appointment reminders, scheduling changes, and other service-related communications. SMS messaging is used primarily as a courtesy tool to help you remember upcoming appointments and meetings.This is a Paragraph Font

  • Consent to receive SMS messages is not a condition of purchasing any Services.

  • Message frequency will vary depending on your scheduled appointments and may include occasional service-related updates.

  • Message and data rates may apply, depending on your mobile carrier and plan.Bullet List 3

  • You may opt out of receiving SMS messages at any time by replying "STOP" to any message you receive, or by contacting us directly at the email below.

  • You may reply "HELP" to any message for assistance, or contact us at [email protected].

  • We are not responsible for any delays or failures in message delivery caused by your mobile carrier or device.

Carriers are not liable for delayed or undelivered messages. Your carrier's standard messaging and data rates may apply to any SMS communications sent or received in connection with our Services.

7. No Guarantee of Results

Coaching and consulting are collaborative processes, and outcomes depend significantly on your own effort, circumstances, and participation. Empowering Educators makes no guarantees, warranties, or representations regarding specific results, outcomes, or success from the use of our Services. Any testimonials, case studies, or examples shared reflect individual experiences and are not a guarantee of similar results for you.

8. Intellectual Property

All materials, content, frameworks, templates, and resources provided by Empowering Educators in connection with the Services (collectively, "Materials") are the intellectual property of Empowering Educators unless otherwise stated. You may use the Materials for your own personal or internal business purposes but may not reproduce, distribute, resell, or publicly share the Materials without our prior written consent.

9. Confidentiality

We understand that coaching and consulting relationships often involve the sharing of sensitive personal or business information. We will take reasonable steps to keep information you share with us confidential, except where disclosure is required by law, necessary to protect the safety of you or others, or otherwise agreed to by both parties in writing.This is a Paragraph Font

10. Limitation of Liability

To the fullest extent permitted by applicable law, Empowering Educators, its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Services. Our total liability arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Empowering Educators and its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.This is a Paragraph Font

12. Termination

Either party may terminate an engagement for Services in accordance with the terms outlined in the applicable engagement agreement. Empowering Educators reserves the right to suspend or terminate your access to the Services at any time if you violate these Terms or engage in conduct we determine, in our sole discretion, to be harmful to our business, staff, or other clients.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Empowering Educators is principally operated, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation between the parties, and if unresolved, may be submitted to mediation or arbitration as mutually agreed.This is a Paragraph Font

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, business practices, or legal requirements. The updated Terms will be posted with a revised effective date. Your continued use of our Services after any changes constitutes your acceptance of the revised Terms.
